of any such modification will be conclusively deemed to constitute acceptance of the revised terms of these Terms and Conditions.
Neither the course of conduct between the parties nor trade practice shall act to modify any provisions of these Terms and
Conditions. Failure to insist on strict performance of any term of these Terms and Condition will not operate as a waiver
of subsequent default or failure of performance. No waiver of any term of these Terms and Conditions will be valid unless
in writing and acknowledged in writing or electronically by both parties.
